Havio

Terms of Service

Effective date: October 30, 2026

These Terms of Service ("Terms") are an agreement between you and Jonathan Mark, doing business as Havio ("Havio," "we," "us") for use of the Havio website at havio.app and the Havio apps for iPhone and Android (the "Service"). By creating an account, signing in, or using a job link, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

1. Eligibility and accounts

You must be at least 18 and able to form a binding contract. Give accurate information and keep it current. You are responsible for activity under your account and for keeping your password, email account, authenticator app and other sign-in methods secure. If you sign in with Google or Apple, your use of those services is also governed by their terms.

2. What Havio is, and what it isn't

Havio is software that helps landlords, tenants and vendors track repairs, coordinate jobs and handle rent payments.

Havio is not a landlord, property manager, real estate broker, contractor, or employer of vendors. We are not a party to any lease, rental agreement, or agreement between a landlord and a vendor. We do not inspect properties, perform repairs, or screen, license, insure or guarantee vendors or their work. Landlords, tenants and vendors are solely responsible for their own agreements and conduct toward one another.

State rules and forms. For some states, Havio shows general information about landlord-tenant rules, such as late fee limits, security deposit deadlines and interest, notice of entry, and rent forms, and it may suggest amounts, dates or reminders based on them. This is general information, not legal or tax advice. It may be incomplete or out of date, cities and counties may have their own rules, and your lease may set different terms. Check the rules that apply to you, and talk to a lawyer or tax professional when you need advice. Reminders are a convenience: you are responsible for your deadlines even if a reminder doesn't arrive.

Emergencies: Havio is not an emergency service. For fire, gas leaks, flooding, carbon monoxide, or any danger to people or property, call 911 or your utility company first, then contact your landlord directly.

3. Landlord responsibilities

If you use Havio as a landlord, you agree that you:

4. Tenant responsibilities

If you use Havio as a tenant, you agree to give accurate repair information and to keep paying rent and meeting your lease obligations. If your landlord asks you to complete a move-in checklist, describe the condition of your home honestly; signing it records that you agree it describes your home when you moved in. Havio does not change your lease. Questions about rent amounts, late fees, deposits, or whether a repair is required belong with your landlord.

5. Vendors

If you receive a Havio job link as a vendor, you agree to these Terms when you use it. You work for the landlord who sent the job, not for Havio. Your rates, invoices and payment are between you and that landlord. Use job details, addresses and access instructions only to complete that job.

6. Payments

Stripe. Payment processing for Havio is provided by Stripe, Inc. and is subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Services Agreement"). Landlords who turn on rent collection agree to the Stripe Services Agreement, as Stripe may change it from time to time. As a condition of Havio enabling payments through Stripe, you agree to give Havio accurate and complete information about you and your business, and you authorize Havio to share it, and transaction information related to your use of payments, with Stripe.

How rent moves. Rent goes from the tenant's bank account to the landlord's Stripe account. Havio does not hold rent funds. Stripe's processing fees are deducted from the landlord's payout.

Tenant bank payments and autopay. When you pay by bank, you authorize the debit of the amount shown from the account you choose. If you turn on autopay, you authorize recurring debits on the schedule shown until you turn autopay off in the app. Changes take effect for payments not yet started. Make sure funds are available; your bank may charge you for returned payments, and your landlord may charge late fees under your lease.

Payment disputes. Disagreements about rent, fees or refunds are between the landlord and tenant. Havio may share payment records with both parties to help resolve them.

7. Text messages

Havio sends service texts about accounts, repairs, jobs and rent. You agree to receive them only if you opt in. The opt-in checkbox in the app reads:

I agree to receive text messages from Havio about my account, repairs and rent. Message frequency varies. Msg & data rates may apply. Reply STOP to opt out, HELP for help. See our Terms and Privacy Policy.

Consent to texts is not a condition of using Havio. Reply STOP to cancel; you'll get one confirmation text and no more. Reply HELP or email support@havio.app for help. Carriers are not liable for delayed or undelivered messages. We do not share your mobile information for marketing, as described in our Privacy Policy.

8. Fees

Current subscription prices are shown in the app and on our website, and they may change. Paid plans renew automatically until canceled. We will give at least 30 days' notice before changing prices for an existing plan. Fees are non-refundable except where required by law.

9. Your content

You keep ownership of what you upload, such as photos, descriptions and documents. You give Havio a limited license to store, display and share that content with the people involved in your rentals and jobs, only to run the Service. Only upload content you have the right to share. Do not upload photos of people without their permission.

10. Acceptable use

Don't use Havio to:

Havio has no tolerance for objectionable content or abusive users. In any conversation you can report a message or block the other person, which stops messages in both directions while repairs, rent and documents keep working. We review every report within 24 hours, and we may remove content and suspend or end the accounts of people who break these rules.

11. Suspension and termination

You can stop using Havio and ask us to delete your account at any time. We may suspend or end access if you break these Terms, create risk for others, or if required by law. Payment and repair records may be kept as described in the Privacy Policy.

12. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee that the Service will be uninterrupted or error-free, that messages will be delivered on time, or that any repair will be completed.

13. Limitation of liability

To the fullest extent allowed by law, Havio is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, rent or data. We are not liable for the acts or omissions of landlords, tenants, vendors, Stripe or other third parties, or for property damage or injury connected to repairs. Our total liability for any claim is limited to the greater of $100 or the fees you paid Havio in the 12 months before the claim.

14. Indemnity

You agree to defend and indemnify Havio against claims arising from your use of the Service, your content, your agreements with other users, or your breach of these Terms or the law.

15. Governing law and disputes

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Dakota County, Minnesota, and you consent to their jurisdiction. Either party may bring a qualifying claim in small claims court.

16. Changes to these Terms

We may update these Terms. For significant changes, we'll notify you by email or in the app at least 14 days before they take effect. Continuing to use Havio after that means you accept the new Terms.
